Terms of Service

1. Acceptance of Terms

By accessing or using BookkeeperCollect (the "Service"), operated by BookkeeperCollect ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

BookkeeperCollect is a document collection platform that enables bookkeepers to create document request checklists, send clients branded upload portals, and automate reminder follow-ups. The Service includes a web application, client upload portal, email notifications, and file storage.

3. Account Registration

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to use the Service.

4. Subscription and Billing

Free trial

New accounts receive a 14-day free trial with full access to Service features. No credit card is required to start a trial.

Paid plans

After your trial ends, you must subscribe to a paid plan to continue using the Service. Plans are billed monthly. Prices are listed on our pricing page and may change with 30 days' notice.

Cancellation

You may cancel your subscription at any time through the billing settings or by contacting us. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for partial months.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload or transmit malware, viruses, or malicious code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to send unsolicited communications (spam)
  • Interfere with or disrupt the Service infrastructure
  • Resell or redistribute the Service without our written consent
  • Use the Service in a way that exceeds reasonable usage for your plan

6. Your Data

You retain ownership of all data you upload or create through the Service, including client information, templates, and uploaded files. You grant us a limited license to store, process, and transmit your data solely to provide the Service to you.

You are responsible for ensuring you have the right to collect and store any client data you manage through the Service. You are also responsible for complying with all applicable data protection laws in your jurisdiction.

7. Client Portal

When you send a document request, your client receives a unique link to an upload portal. Clients do not need to create an account. Portal links contain unique access tokens and should be treated as confidential. You are responsible for managing who has access to these links.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when possible. We are not liable for downtime caused by factors outside our control, including third-party service outages, natural disasters, or internet connectivity issues.

9. Limitation of Liability

To the maximum extent permitted by law, BookkeeperCollect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be error-free, secure, or available at all times.

11. Termination

We may suspend or terminate your account if you violate these Terms or if we believe your use poses a risk to the Service or other users. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately, and we will delete your data in accordance with our Privacy Policy.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or a prominent notice in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved in the courts of the applicable jurisdiction.
